Terms of Use for Restaurants

Last updated: October 23, 2026 · BIDLX SOLUTIONS SDN. BHD.

A binding agreement between BidLX and every restaurant owner who registers an account or uses the system. Please read it carefully before creating an account.

1. Parties and acceptance

  • These terms are an agreement between BIDLX SOLUTIONS SDN. BHD., a company registered in Malaysia ("BidLX", "we"), and you as the restaurant owner or its authorised representative ("you" or "the restaurant").
  • By creating an account or using the service you confirm that you are at least 18 and have legal authority to bind the restaurant, and you accept these terms electronically with the effect of a signature.
  • The Privacy Policy for Restaurants & Staff and the Data Processing Agreement form an integral part of these terms.

2. The service

  • BidLX is a cloud restaurant management platform including, depending on the plan: digital and QR menus, POS, tables, kitchen, inventory and purchasing, customers and loyalty, HR, reports, the restaurant directory and BidLX Jobs.
  • We grant you a limited, non-exclusive, non-transferable licence to use the service to manage your restaurant during your subscription. We may develop the service and change its features, but will not materially reduce the features of a paid plan during its current term.

3. Account and users

  • You agree to provide and keep accurate information, keep passwords confidential, and create a separate account for each staff member instead of sharing yours.
  • You are responsible for all activity in your account and your staff accounts, and for the permissions you grant them.
  • You must notify us immediately at support@bidlx.com of any suspected unauthorised use of your account.
  • BidLX may prepare an account for a restaurant and send the sign-in details to its owner. The owner is asked to accept these terms on first sign-in, and the account cannot be used before that. The owner should change the password and email to their own immediately after signing in, and becomes responsible for the account from then on.

4. Plans, fees and payment

  • A free plan and paid plans with different features are available. Fees and term for a paid plan are set at subscription and are payable in advance.
  • Fees exclude taxes unless stated otherwise; you bear any taxes due on them in your country.
  • Fees paid are non-refundable, unless we materially breach the service and fail to remedy it within 30 days of notice, or a mandatory law requires otherwise.
  • When a subscription ends or is unpaid, features revert to the free plan limits and your data stays saved. We notify you of any price change at least 30 days before it applies to your next renewal.
  • A paid subscription purchased online renews automatically at the end of each term (monthly or yearly) and is charged to the saved card unless you cancel before the renewal date.
  • You can cancel renewal at any time from "Manage subscription & invoices" in your dashboard. Cancellation takes effect at the end of the paid term, and plan features remain available until then.
  • When upgrading to a higher plan or changing the term, the price difference for the remaining period is charged immediately. When downgrading, the difference is applied as credit to your future invoices and is not refunded in cash.

5. Your content and responsibility

  • You retain ownership of your content (menu, photos, logos and data). You grant us a non-exclusive, royalty-free licence to host, process and display it as needed to provide the service, including your menu, the restaurant directory, share pages and search engine results when you publish your restaurant in the directory.
  • You alone are responsible for the accuracy of menus, prices, calories, ingredients, allergens and offers, for their compliance with consumer protection and food safety laws in your country, and for your right to use the photos and logos.
  • You are responsible for the staff and customer data you enter, for informing them and obtaining their consent where required, and for complying with labour laws in your country, including those on attendance, salaries and deductions.
  • We may hide or remove any content that is unlawful, misleading or infringes third-party rights, without being obliged to monitor content in advance.

6. Prohibited use

You may not: attempt to access other restaurants' data or exceed permissions, test the system for vulnerabilities without written permission, disrupt or overload the service, scrape data, resell, copy or reverse-engineer the service, or use it for unlawful activity or spam.

7. BidLX intellectual property

The system, its software, design, and the BidLX name and logo belong to us. Using the service grants you no rights in them beyond the licence above. We may use any suggestions you provide to improve the service without compensation.

8. Restaurant directory and BidLX Jobs

  • Publishing your restaurant in the directory is optional and can be stopped at any time. We do not guarantee any particular ranking in the directory or in search engines.
  • In BidLX Jobs we are only a technical intermediary and not a party to any employment relationship. You are responsible for the accuracy of your job posts, compliance with labour and recruitment laws, and handling applicants' data lawfully and only for recruitment.

9. Restaurant pages prepared from public information

  • BidLX may create a page for a restaurant in its directory from information the restaurant has published to the public, such as its name, address, phone number, menu and prices, to help customers reach it. This does not imply any partnership, contract or endorsement by the restaurant.
  • The restaurant owner may claim and manage its page free of charge after verifying ownership, by contacting support@bidlx.com.
  • The restaurant owner may request correction of any information or removal of its page entirely at any time, and BidLX will carry out the request within three business days of verification.
  • Restaurant names, logos, photos and trademarks belong to their owners. BidLX uses them only to identify the restaurant and promptly removes any content its owner asks to be removed.
  • Once the owner claims its page, it becomes responsible for keeping its prices and information up to date through the dashboard. Before a claim, BidLX makes reasonable efforts to show correct information but does not guarantee its accuracy or currency.

10. Availability and backups

  • We make reasonable efforts to keep the service running and perform regular backups. However, the service is provided "as is" and "as available", may stop for maintenance or due to providers or networks beyond our control, and we do not guarantee it will be error-free or uninterrupted.
  • You are responsible for verifying reports and amounts before relying on them for financial or tax decisions, and for keeping copies of your important reports.

11. Limitation of liability

  • To the maximum extent permitted by law, we are not liable for any indirect, consequential or special damages, or for loss of profits, revenue, goodwill or data, arising from use of or inability to use the service.
  • Our total liability in all cases is limited to the total amount you paid us in the three months before the event giving rise to the claim, or USD 100 for the free plan.
  • This clause does not limit our liability for fraud, gross negligence or anything that cannot be limited by law.

12. Indemnity

You agree to indemnify and defend us against any claims, fines or reasonable costs arising from your content, your breach of these terms or of the law, or your handling of staff, customer and job applicant data.

13. Suspension and termination

  • You may stop using the service at any time and request permanent deletion of your account, restaurant and its data.
  • We may suspend or terminate the account for material breach of these terms, prohibited use, or legal obligation, with notice where possible. Except in serious abuse, we give at least 14 days to remedy the breach.
  • After termination you may request a copy of your data within 30 days, after which we delete it per the privacy policy. Clauses that by nature survive termination, such as limitation of liability, indemnity and governing law, remain in force.

14. Force majeure

Neither party is in breach if performance is delayed or prevented by circumstances beyond its reasonable control, such as disasters, war, epidemics, internet or power outages, failures of major providers, or government decisions.

15. Governing law and disputes

  • These terms are governed by the laws of Malaysia. The parties will try to resolve any dispute amicably within 30 days of notice; failing that, the courts of Kuala Lumpur have jurisdiction.
  • This does not affect any mandatory rights or laws in the restaurant's country that cannot be contracted out of, including the Saudi PDPL where applicable.

16. General

  • Changes: we notify you of any material change at least 30 days before it takes effect; continued use afterwards means acceptance, and you may terminate if you disagree.
  • Notices: sent to you at the account email or in the system, and to us at the email below.
  • Assignment: you may not transfer the account or assign these terms without our written consent; we may assign them to an affiliate or to an acquirer of the service.
  • Severability: if any clause is invalid, the others remain in force and the invalid clause is replaced by the closest valid clause achieving its purpose.
  • No waiver: our failure to exercise any right is not a waiver of it.
  • Entire agreement: these terms with the referenced documents form the entire agreement on the service, unless a separate signed written contract provides otherwise.
  • Language: in case of any difference between the Arabic and English versions, the English version prevails.
